What’s the role?

As an Associate Director supporting Corporate Governance and Company Secretarial services, you will lead a team of specialists, ensuring the delivery of high-quality corporate secretarial services for a portfolio of complex clients. You will play a pivotal role in leading the department to deliver high quality services using leading technology, managing high-profile client relationships, and ensuring compliance with legal and regulatory frameworks. Strong leadership, operational management, and deep expertise in corporate governance are key to success in this role.

What you’ll be doing

Your role may include, but will not be limited to, the following tasks which we call ‘Defined Business Activities’.  The list of defined business activities is not exhaustive and may be amended from time to time.

  • Leadership:
    • Set the operational direction and manage prioritisation for the Luxembourg corporate governance team, aligning with the objectives of the European corporate governance offering and the wider organisation.
    • Collaborate effectively with corporate governance specialists in our organization to ensure harmonization of policies, procedures and delivery standards across our European platform.
    • Contribute to the development and implementation of corporate governance policies to maintain compliance with Luxembourg regulations and international standards, while ensuring consistency across our jurisdictions.
    • Lead efforts to enhance the quality, efficiency, and client satisfaction of corporate governance services, including the adoption of technology to support delivery and client experience.
    • Support business development activities including collaboration on proposal documents and meetings with clients and prospects.  
  • Team Management and Development:
    • Manage and mentor the Luxembourg governance team, supporting their growth and alignment with organizational goals.
    • Lead change management within the team including implementation of technology solutions and efficiency initiatives.
    • Lead performance management, training, and development initiatives, fostering a high-performing and collaborative team environment.
    • Conduct regular team reviews and set departmental objectives to meet both client and internal performance metrics. 
  • Client Relationship Management:
    • Act as the governance point of contact for high-profile and complex clients, ensuring strong relationships, technical guidance, and the delivery of excellent service. Working closely with the Client Service leads to ensure collaborative and consistent approach across teams and jurisdictions.
    • Lead client meetings, offering expert guidance on corporate governance best practice and ensuring clients are up to date with regulatory changes.
    • Manage escalations and solve complex client issues, ensuring a proactive approach to client satisfaction. 
  • Transaction Management:
    • Support clients in the execution of moderately complex corporate transactions (e.g., mergers, acquisitions, liquidations, restructurings) from a governance and compliance perspective.
    • Ensure timely and accurate handling of client matters as relevant to the governance role, coordinating with internal and external stakeholders.
  • Compliance and Risk Management:
    • Ensure that client entities meet their legal and regulatory requirements as relevant to the governance role, staying ahead of compliance obligations.
    • Stay informed of updates in Luxembourg corporate law, adjusting internal processes to maintain compliance.
    • Prepare regular governance and compliance reports for senior management and clients. 
  • Process Optimization:
    • Identify opportunities for efficiency improvements in daily operations and service delivery, working with the wider team to implement new processes, technology and tools.
    • Lead initiatives to enhance the use of technology within the corporate administration function.

The ideal background for this role:

  • Bachelor’s or Master’s degree in Law, Business Administration, or a related field.
  • Additional certifications in corporate governance or Luxembourg corporate law are advantageous.
  • 10+ years of experience in corporate governance or administration, with a proven track record of managing complex portfolios and working with high-profile clients.
  • People management theory and practical application with at least 4 years of experience leading a team.
  • Fluent in English (written and spoken), with proficiency in French or German considered a strong asset.
  • Excellent leadership and organizational skills, with a focus on building and leading high-performing teams.
  • Strong understanding of Luxembourg’s corporate laws and compliance frameworks.
  • Proficient in Microsoft Office and corporate management software.

Role Location/Hybrid Schedule

This role can be based in our Luxembourg office. Although the nature of most of the roles within Gen II cannot be classed as totally flexible, there is scope in some cases for a form of Agile Working. The different ways in which Agile Working can be undertaken is dependent on the demands and needs of the business, the office space available and the individual’s preferences and circumstances.
